Article I Name

The name of this organization shall be Law Elementary Parent Teacher Organization, Inc.

Article II Nondiscrimination Policy

Law Parent Teacher Organization endorses and is committed to Board Policy of nondiscrimination in volunteering, participation in programs, services, activities and education opportunities. It is Law PTO’S policy that no person shall be discriminated against in the terms and conditions of volunteering, personnel practices, and access to or participation in, programs, services, and activities with regard to race, sex, color, creed, religion, age, national origin, disability, marital status, status with regard to public assistance, sexual orientation, or membership or activity in a local commission as defined by law.

Law PTO believes that harassment of an individual or group on the basis of race, sex, color, creed, religion, age, national origin, disability, marital status, status with regard to public assistance, sexual orientation, or membership or activity in a local commission has no place in a learning or volunteering environment and is prohibited.

This policy is directed at conduct which constitutes discrimination under state and federal law and is not directed at the content of speech. In cases in which verbal statements and other forms of expression are involved, Law PTO will give due consideration to an individual’s constitutionally-protected right to free speech and academic freedom. When these issues arise, it shall be the policy of Law PTO to consult with our Board of Directors and/or legal counsel

Article III Objectives

a) Dedicate our time and efforts for the benefit of the children of the school.

b) To enhance the educational facilities for the students of Law Elementary School that is not otherwise provided for in the school corporation budgets.


Article IV Policies

a) Law PTO is organized exclusively for educational purposes, including, for such purposes, the making of distributions to organizations that qualify as exempt organizations under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code.

Notwithstanding any other provision of this document, the organization shall not carry on any other activities not permitted to be carried on (a) by an organization exempt from federal income tax under section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future tax code, or (b) by an organization , contributions to which are deductible under section 170(c)(2) of the Internal Revenue Code, or corresponding section of any future federal tax code.

b) This organization shall neither seek to direct the administrative activities of the school nor to control its policies.

c) This organization may make suggestions to the administration concerning activities of the school, if such
suggestions are made toward the betterment of conditions of all concerned (i.e., students, teachers, administrators and parents).

d) Law PTO will spend no more than $25 for a gift of sympathy that involves the death of a staff member, staff member’s spouse or child. All other events would be recognized by a card only.

e) Code of conduct will be followed by all associated with the Law PTO. Please see Standing Rules for Code of Conduct.

Article V Membership


a) Any parent, guardian, or other person standing in ‘loco parentis’ (in the place of the parent), with a child enrolled and attending James H Law Elementary School is a voting member of Law PTO.

b) Each member of the licensed teaching staff and administration working at James H Law Elementary School is a voting member of Law PTO.

c) Any member shall have the privilege of making motions and serving on committees.


d) The name of the organization or the names of any members in their official capacities shall not be used in any connection with a commercial concern, or for any purpose not appropriately related to promotion of the objectives of the organization.

e) The organization shall not directly or indirectly participate or intervene, in any way, including the publishing or distribution of statements in any political campaign on behalf of, or in opposition to, any candidate for public office, or attempt to influence legislation by propaganda, or otherwise.

f) We are a nonprofit, tax-exempt organization organized under Texas state laws. Donations to our organization are recognized as tax-deductible by the IRS under section 501(c) (3) of the Internal Revenue Code. We must make various annual IRS filings to maintain these privileges. Regardless of the time and sacrifices you devote, it is our policy that no director, officer or volunteer of our organization should receive any financial benefit, credit or gift of any kind (this includes gifts and gift certificates as parting gifts) for their volunteer activities. (Out-of-pocket expenses, however, will be reimbursed with substantiation and approval of the board.)

Article VII Officers and Their Elections

a) The officers of this organization shall be the President, Vice President, Secretary, Treasurer and Program Coordinator and Asst. Program Coordinator.

b) Officers shall be elected at the May meeting of the organization by the members present.


c) Officers shall assume their official duties at the start of the fiscal year starting after their election: July 1st.

d) Officers of this organization shall be elected in the following manner:

Elections will occur every year.

Notification to Law PTO member populace in regards to the vote shall be at least 30 days prior to election in May.

A slate of nominees for all offices to be filled at the May meeting of the organization shall be posted 30 days prior to May’s meeting.

At the May meeting there will then be requests for nominations from the floor.

Only those who have consented to serve shall be eligible for nomination.

e) A vacancy occurring in any office shall be filled for the unexpired term by a person elected by a majority vote of the remaining members of the executive board committee.

f) Removal. Any officer may be removed from office by the affirmative vote of two thirds of all the officers at any regular or special meeting called for that purpose, for conduct detrimental to the interests of the Corporation, for lack of sympathy with its objectives, or for refusal to render reasonable assistance in carrying out its purposes. Any officer proposed to be removed shall be entitled to at least five days' notice in writing by mail of the meeting of the officers at which such removal is to be voted upon and shall be entitled to appear before and be heard by the officers at such meeting.

g) The initial officers of this corporation have been appointed for a one year term with the exception of the President whose term will be for two years. The names of the persons who are to serve as the initial officers are:



Article VIII Duties of Officers

The officers shall have general supervision of the affairs of
the Law PTO between its business meetings, fix the day, hour and place of the meetings, make recommendations to the PTO and perform other duties as are specified by these bylaws.

a) The President shall preside at all meetings of the organization and of the Executive Board committee.

b) The Vice President shall act as aid to the President and perform the duties of the President in the absence or inability to serve.

c) The Secretary shall record the minutes of all meetings of the PTO (Executive Board and General), file copies of the minutes, handle correspondence as delegated, and keep copies of all written committee reports.

d) The Treasurer shall receive all monies of the organization; shall keep an accurate record of receipts and expenditures; and shall pay out funds in accordance with the approval of the executive board committee. She/He shall present a financial statement at every meeting and at other times when requested by the executive board committee; and shall make a full report at the end of the current fiscal year.

e) The Program Coordinator shall set a production timetable for the timely completion of the tasks. Ensure that group members respect deadlines mentioned in the timetable. Make sure all group members do what is expected of them. Voice the group's concerns, problems and needs to the PTO President. Coordinate the activities of the other specialists in the team. Report the group's progress and the research results in the Board meetings.
 
f)Asst. Program Coordinator shall act as an aid to the Program Coordinator and perform the duties of the Program Coordinator in the absence or inability to serve.
 
g) All checks issued by the Law PTO must be approved by  the executive board. All paperwork requesting payment must also be approved by 2 executive board members. A board member may not sign a check made out to them or approve paperwork for payment to them. 2 other members of the board must sign and approve.

h) All officers shall perform the duties outlined above as well as any other duties prescribed in these bylaws; and such other duties as may be delegated to her/him.

i) At the end of their term, all officers shall deliver to their successor officers all official materials and property of the corporation.

Article IX Executive Board

a) The Executive Board shall consist of the officers of the organization and the principal. Executive board members’ votes preside.

b) The duties of the Executive Board:

To transact necessary business in the intervals between regular meetings and such other business as may be referred to it by the organization or committees requiring or needing assistance.

To create standing and temporary committees that are necessary to carry out the objectives and aims of this organization.

To present a report of plans, projects, activities, etc., at the regular meetings.

To approve routine bills


24 hour notice of Executive Board meeting required.

Article X Meetings

a) The annual meeting of the executive board shall be held in July or August of each calendar year, the exact date to be decided upon by the Executive Board.

b) The Executive Board will form a proposed budget to be discussed and voted on at the 1st meeting of the fiscal year.

c) The general meetings of the organization shall be on the first Monday of the months of September, January and May. Should a meeting date occur when school is not in session, the alternate date will be decided upon by the Executive Board.

d) Special meetings may be called by the organization or the Executive Board. Appropriate notification will be given to the school populace by the President of the Executive Board.

e) Three officers present at any meeting shall constitute a quorum necessary for the transaction of business of the organization.


Article XI Standing and Special Committees

a) Standing and special committees shall be determined on an as-needed basis.


b) Committee chairperson/persons shall be issued committee guidelines by the Executive Board.

c) The Executive Board of this organization must approve all printed material, expenditures, contracts signed, agreements entered into. The Executive Board has the option of advancing a committee chair up to $50 for discretionary spending for event necessities with submission of proper documentation and receipts to be required no later than upon completion of the activity or request of additional funds.

Article XII Parliamentary Authority

The rules contained in the current edition of Robert's Rules of Order Newly Revised shall govern the Law Elementary PTO in all cases to which they are applicable and in which they are not inconsistent with these bylaws and any special rules of order the PTO may adopt.

Article XIII Fiscal Year

The fiscal year of the Corporation shall commence on July 1 of each year and end on June 30.


Article XIV Amendments

These bylaws may be amended at any regular or executive meeting of the organization by a majority vote of the Executive Board.

Article XV Dissolution of Organization

Upon dissolution of this organization, after paying or adequately providing for the debts and obligations of this PTO, the remaining assets shall be distributed to James H Law Elementary School. If James H Law Elementary School ceases to exist, remaining PTO assets shall be distributed for one or more exempt purposes within the meaning of section 501(c)(3) of the Internal Revenue Code, or corresponding section of any future federal tax code, or shall be distributed to the federal government, or to a state or local government, for a public purpose.
